Zusey / Legal
Terms of Service
The rules for using Zusey, protecting your work, and understanding the limits of AI-assisted services.
Zusey is a product of Coder Foundry. These Terms of Service (the “Terms”) are an agreement between you and Coder Foundry (“we,” “us,” or “our”). They govern your access to Zusey websites, accounts, assistant packages, hosted tools, and related services (together, the “Services”). By creating an account, purchasing access, or using the Services, you agree to these Terms.
01
Agreement and eligibility
You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Services for an organization, you represent that you have authority to accept these Terms for that organization.
If you do not agree to these Terms, do not use the Services.
02
What Zusey provides
Zusey provides specialized assistant definitions, guided workflows, setup and update information, account services, and narrowly scoped hosted tools designed to work with supported OpenAI environments and user-controlled project folders.
The Services may vary by account, subscription, device, operating system, geography, provider availability, and product version. A feature shown in documentation or an assistant definition is not a promise that every integration or environment will support it.
03
Accounts and security
You are responsible for accurate account information, safeguarding your credentials and passkeys, and activity that occurs through your account. Tell us promptly if you believe an account or credential has been compromised.
You may not share access in a way that bypasses account limits, impersonate another person, or use another person’s account without permission.
04
Your content and local files
You retain your rights in the prompts, documents, project files, instructions, and other material you create or provide (“User Content”). You grant us only the limited rights needed to transmit, process, store, and display User Content that you intentionally submit to a hosted part of the Services.
Zusey is designed so that local project files remain under your control. The Zusey website and hosted catalog tools do not automatically receive a copy of your local project folder or OpenAI conversations.
You represent that you have the rights and permissions needed for User Content and that your use of it through the Services will not violate law or another person’s rights.
05
AI output and human review
AI-generated output can be incomplete, inaccurate, misleading, or unsuitable for your situation. You are responsible for reviewing output, checking important facts and sources, and deciding whether and how to use it.
The Services do not provide legal, medical, financial, accounting, employment, or other regulated professional advice. Do not rely on output as a substitute for a qualified professional. Consequential actions—including messages, purchases, commitments, schedules, deletions, or changes to external systems—remain subject to your review and approval.
06
Third-party services
The Services may connect with or link to third-party products such as Auth0, OpenAI, Google, Microsoft, Stripe, and email, calendar, hosting, or storage providers. Your use of a third-party service is governed by that provider’s terms and privacy policy.
We do not control third-party availability, model behavior, connector permissions, data handling, or changes. You are responsible for selecting approved services and configuring their access appropriately.
07
Subscriptions and billing
If paid access is offered, the price, billing interval, renewal terms, taxes, and material purchase terms will be shown before you complete checkout. Payments and payment methods are processed by Stripe or another identified payment provider; we do not store full payment-card details.
Recurring subscriptions renew until canceled. You can manage or cancel an active subscription through the available billing controls. Cancellation takes effect as described at checkout or in the billing portal. Except where stated otherwise at purchase or required by law, charges are non-refundable.
Ending paid access may stop new managed downloads, setup, or updates after the paid-through date. It does not transfer ownership of, delete, or intentionally disable project files already stored in your own workspace.
08
Acceptable use
You may not use the Services to:
- break the law, violate another person’s rights, or facilitate fraud, abuse, harassment, or exploitation;
- introduce malicious code, probe or bypass security, interfere with the Services, or access data or accounts without authorization;
- misrepresent AI output as verified professional advice or conceal material AI involvement where disclosure is required;
- submit regulated, confidential, privileged, or highly sensitive data unless you have approved every service involved and configured appropriate protections; or
- copy, resell, reverse engineer, or use the Services to build a competing service except as permitted by law or a written agreement.
We may investigate suspected misuse and restrict access when reasonably necessary to protect users, the Services, or third parties.
09
Our technology and your feedback
We and our licensors retain all rights in the Services, including the Zusey name, software, assistant definitions, workflows, site design, documentation, and related intellectual property. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Services as intended.
If you send feedback or suggestions, you permit us to use them without restriction or compensation, but we do not acquire ownership of your User Content merely because it contains feedback.
10
Availability and changes
We may improve, add, limit, suspend, or discontinue parts of the Services. We do not promise uninterrupted access, permanent availability of a particular assistant or integration, or compatibility with every third-party change.
When practical, we will provide reasonable notice of a material change that adversely affects paid access. Emergency, security, legal, or third-party changes may require immediate action.
11
Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that output will be accurate, that the Services will meet every requirement, that external actions will produce an intended result, or that synchronization, version history, or any single storage system will guarantee recovery.
Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
12
Limits on liability
To the maximum extent permitted by law, Coder Foundry and its owners, personnel, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption arising from the Services.
Our total liability for claims arising out of or relating to the Services will not exceed the greater of the amount you paid us for the Services during the 12 months before the event giving rise to the claim or US $100.
These limits do not apply where liability cannot lawfully be excluded or limited.
13
Ending your use
You may stop using the Services at any time and can close your account through the account-management tools. Subscription cancellation and account deletion are separate actions.
We may suspend or terminate access for a material breach of these Terms, security risk, nonpayment, legal requirement, or conduct that could harm the Services or others. Provisions that by their nature should survive—such as ownership, disclaimers, liability limits, and payment obligations—continue after termination.
14
General terms
Applicable law governs these Terms, and any mandatory consumer rights remain unaffected. Before filing a formal claim, you and we agree to make a good-faith effort to resolve the issue by written notice.
If a provision is unenforceable, the remaining provisions stay in effect. A delay in enforcing a right is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Services.
We may update these Terms. The revised version will show a new effective date, and we will provide additional notice when required by law. Continued use after the revised Terms take effect means you accept them.
